A warehouse that sits empty in Gurgaon costs its owner twice. Once in the lease that is not coming in, and again in the property tax, security, watchman and basic upkeep that keep going out whether or not a truck ever pulls in. Yet a surprising number of good sheds along Pataudi Road, Farrukhnagar, Bilaspur and Kherki Daula stay vacant for six months or more, not because there is no demand, but because the owner priced it by guesswork, could not produce a document the tenant asked for, or never got the listing in front of the companies that actually sign leases.
This guide walks you through the process the way our team runs it for owners: from working out a realistic lease to handing over the keys. It is written for individual and family owners of warehouses, industrial sheds and godowns in Gurgaon and the surrounding belts, not for institutional park developers.
Step 1: Work Out What Your Warehouse Can Actually Earn
Most owners start with the lease a neighbour claims to be getting, or the number a broker quotes to win the mandate. Neither is a pricing method. Rent in Gurgaon's warehouse belts is set by three things: which belt you are in, what grade of building you have, and how much space the tenant is taking.
| Belt | Typical tenant looking here | Grade B shed (₹/sq ft/month)* | Grade A / PEB (₹/sq ft/month)* |
| Kherki Daula / Sihi / Sector 84 | Quick-commerce, dark stores, last-mile | 20 – 26 | 28 – 35 |
| Khandsa / Sector 37 | Small manufacturers, service centres, city distribution | 18 – 24 | 26 – 32 |
| Manesar / Kasan / IMT | Auto ancillaries, JIT feeder stock | 17 – 22 | 24 – 30 |
| Bilaspur – Pataudi Road | 3PL, FMCG, e-commerce regional hubs | 14 – 18 | 20 – 26 |
| Farrukhnagar | Large fulfilment, build-to-suit parks | 12 – 16 | 18 – 22 |
| Sohna / Sohna Road | Pharma, electronics, mid-size distribution | 13 – 17 | 19 – 24 |
| Bhorakalan / Mubarikpur / Gadaipur | Mid-size storage wanting NH-48 access cheaply | 13 – 17 | 19 – 23 |
| Bilaspur – Taoru Road / Nuh side | Bulk storage, tyres, auto parts, cost-driven users | 10 – 13 | 15 – 18 |
*Indicative warm-shell ranges as of 2026 from enquiries handled by the ZENDO team. Treat them as a starting point, not a quote. A larger area, a longer lease and a stronger tenant pull the number down; a ready Fire NOC, good flooring and a wide approach road push it up.
What moves your lease up or down
• Clear height: Every metre above 8 m adds racking capacity, and tenants pay for it. A 6 m shed competes on price; a 10 m shed competes on specification.
• Flooring: Trimix or VDF flooring rated for 5 T/sq m or more lets a tenant run forklifts and racking. Plain PCC with cracks takes 10–15% off the lease, because the tenant will price the repair in.
• Approach road: If a 40-ft trailer cannot reach your gate, you have lost every 3PL and e-commerce tenant before the visit begins. A 60-ft road is the standard ask.
• Fire NOC in hand: Corporate tenants cannot occupy without it. An owner who has it signs faster and at a better rate than one who promises to apply later.
• Power sanction: A sanctioned load of 100 kVA or more with a working transformer is a selling point. Cold storage and manufacturing tenants will not look at anything less.
If you have not been inside the leasing market for a few years, read our guide to warehouse and industrial space in Gurgaon first. It is written from the tenant's side, and it will tell you exactly what the person sitting across the table is going to ask.
Step 2: Put Your Paperwork in Order Before the First Enquiry
Serious tenants in Gurgaon are companies, and companies run a document check before they spend a rupee. If you cannot produce a paper within a day or two of being asked, the tenant moves to the next shed on the list. Here is what gets asked, almost every time.
| Document | Why the tenant wants it | Where it comes from |
| Title deed / sale deed and mutation | Confirms you own what you are leasing | Sub-registrar office; Tehsil for mutation (jamabandi) |
| CLU (Change of Land Use) letter | Proves the land is legally usable for warehousing, not just agriculture | Department of Town & Country Planning (DTCP), Haryana |
| Sanctioned building plan | Shows the structure is approved; Fire NOC is tied to it | DTCP / HSIIDC / local authority |
| Fire NOC | Mandatory for occupation above the prescribed built-up area | Haryana Fire Services |
| Electricity connection and sanctioned load | Confirms the load the tenant can actually draw | DHBVN |
| Latest property tax receipt | Shows no dues that could become the tenant's problem | Municipal Corporation / Gram Panchayat |
| Encumbrance certificate / loan NOC | Tells the tenant the bank will not interfere mid-lease | Sub-registrar; lender if mortgaged |
| PAN and GST registration | Needed for TDS and GST on lease invoices | Income Tax portal; GST portal |
| Structural stability certificate | Asked for older sheds and anything above 10 years | Licensed structural engineer |
Two of these trip owners up most often. The CLU, because many godowns on village land were built without it, and a corporate tenant's legal team will reject the property outright. And the Fire NOC, because the application takes 6–12 weeks and tenants want possession in 4. Start both before you start marketing.
Step 3: Fix the Seven Things Tenants Reject a Warehouse For
Our site-visit notes over the last few years show the same handful of reasons a tenant walks away. Most are fixable in a few weeks for a fraction of one year's lease.
1. Water on the floor or stains on the walls. Nothing kills a visit faster. Clear the drains, fix the roof sheets, and if the plinth is low, get a drainage line laid before the monsoon.
2. Cracked or uneven flooring. Tenants plan racking and forklift aisles on the floor. Patch and level it; if the budget allows, a Trimix top layer repays itself in the first year's lease.
3. No dock or a dock at the wrong height. One raised dock at 1.2 m with a simple ramp turns a godown into a warehouse in a tenant's eyes.
4. Narrow or encroached approach road. If you cannot widen it, at least clear parked vehicles, cattle sheds and low cables on the day of every visit, and photograph a truck successfully entering.
5. Insufficient power or a disconnected supply. Reconnect the DHBVN supply and get the sanctioned load letter. A dead meter reads as a dead property.
6. No Fire NOC and no firefighting equipment. Install hydrants or extinguishers as per the fire department's requirement for your area; it is also needed to get the NOC.
7. Shared or unclear boundaries. Build or repair the boundary wall and a lockable gate. Tenants are storing goods worth crores; they want to know where their responsibility begins and ends.
A rough rule we share with owners: spending 3–5% of the expected annual lease on these fixes before listing typically cuts the vacancy period by half and removes the tenant's excuse to negotiate the rent down.
Step 4: Decide Your Lease Terms Before Someone Else Decides Them for You
Walk into a negotiation knowing what is standard, and you stop being pushed around by whichever side quotes a number first. These are the terms that are normal in Gurgaon's warehouse market today.
| Term | Market standard in Gurgaon | What is in the owner's interest |
| Lease tenure | 3 + 3 + 3 years (9-year registered lease) for corporates; 3–5 years for smaller tenants | Longer tenure with escalation beats a higher lease on a short lease |
| Lock-in period | 3 years for Grade A; 1–2 years for sheds | Push for the full 3 years if you are doing any fit-outs for the tenant |
| Lease escalation | 5% every year, or 15% every 3 years | Annual 5% compounds better than 15% at year 3 |
| Security deposit | 3–6 months' lease, interest-free, refundable | 6 months for an unknown tenant; 3 months for a listed or well-known company |
| Lease-free fit-out period | 30–60 days for a warm shell; up to 90 for a bare shell |
Give the days but start the lock-in from handover, not from lease commencement |
| Maintenance | Structure and roof: owner. Internal upkeep, utilities: tenant | Spell out who repairs what in writing; most disputes start here |
| Notice period | 3 months after lock-in, from either side | Keep it symmetrical; one-sided clauses are the first thing a tenant's lawyer strikes |
| Sub-letting | Not allowed without written consent | Allow it only to group companies, and only with your approval each time |
Lease deed or leave-and-licence?
For anything over 11 months, a registered lease deed is the right instrument. It protects you in court, it is what corporate tenants expect, and the stamp duty is a one-time cost usually shared or borne by the tenant. Leave-and-licence agreements are fine for short, informal arrangements, but they signal to a serious tenant that you are not set up for a long-term relationship. Work out the registration cost in advance with our stamp duty calculator.
Step 5: Build a Listing That Answers the Tenant's Questions Before They Ask
A listing that says "40,000 sq ft warehouse, Pataudi Road, price on request" gets scrolled past. A listing that reads like a specification sheet gets a site-visit request. Before you publish anywhere, collect the following.
Measurements and specifications
• Plot area and covered area, separately, in sq ft and sq m (use the acre to square metre or cent to square feet converter if your papers are in local units)
• Clear height at the lowest point, not at the ridge
• Number of dock doors, their height, and whether there are levellers
• Floor type and load capacity in T/sq m, if you have a certificate
• Sanctioned electrical load in kVA, and DG capacity if any
• Approach road width and the distance to NH-48, KMP or the Dwarka Expressway
• Fire NOC status: issued, applied, or to be applied
• Office area, washrooms, labour rooms and parking inside the plot
• Availability date and the minimum lease tenure you will accept
Photographs that actually help
• Wide interior shot from the dock end showing the full length and the roof structure
• Floor close-up in good light (tenants zoom in looking for cracks)
• Dock doors from outside, with the apron visible
• Approach road from the main road to your gate, ideally with a truck in frame
• Electrical panel and transformer
• Boundary wall and main gate
• A short walk-through video on a phone is now almost expected; it saves everyone a wasted visit
Owners who take an hour to assemble this get fewer, better enquiries. Tenants who cannot find a spec move on; tenants who find a complete one call.
Step 6: Reach the Right Tenants and Screen Them Properly
The companies that lease warehouses in Gurgaon are a small, identifiable set: third-party logistics firms, e-commerce and quick-commerce operators, FMCG and consumer durable distributors, auto-component suppliers to the Manesar plants, pharma distributors, and manufacturers who need overflow storage. They do not browse classified sites. They work through their own property teams, through consultants, and through platforms that specialise in industrial space.
Wherever you list, apply the same screen before you spend a day on a site visit.
| Check | Green signal | Red flag |
| Who is enquiring | A named company with a GST number and a website | A "client of mine" with no name, or a broker who cannot say who the end user is |
| Use of the premises | Clearly stated: storage, distribution, light assembly | Vague, or a use the CLU and Fire NOC do not cover (chemicals, hazardous goods) |
| Financial standing | Willing to share incorporation certificate, audited accounts, GST returns | Refuses KYC, or offers a large cash deposit instead |
| Timeline | Possession in 4–8 weeks with a clear decision-maker | "Just exploring" with no budget approval |
| Tenure | Asks for 3 years or more | Wants month-to-month, which usually means a seasonal or one-time requirement |
Ask for the Certificate of Incorporation, GST registration, PAN and a board resolution naming the signatory before you draft anything. A genuine corporate tenant has these ready; a time-waster does not.
Step 7: Negotiate, Document and Register
Once a tenant is shortlisted, the process usually runs in this order. Owners who know the sequence are not surprised by it, and are not rushed into signing something they have not read.
1. Letter of Intent (LOI). A one- or two-page document stating the area, lease, deposit, tenure, lock-in, escalation and fit-out period. Non-binding in most cases, but it freezes the commercial terms so the lawyers do not reopen them.
2. Token or LOI deposit. Typically one month's lease, adjusted against the security deposit. It takes the property off the market.
3. Lease deed drafting. Either side's lawyer can draft; the other reviews. Watch for clauses on sub-letting, assignment to group companies, early termination charges, and what happens if the Fire NOC is delayed.
4. Stamp duty and registration. Pay the duty on the lease deed, register it at the Gurugram sub-registrar office, and keep a certified copy. This is what makes the lease enforceable.
5. Handover. A signed handover note with photographs, meter readings and an inventory of fixtures. Both parties keep a copy. The deposit is normally paid at or before handover.
Tax points owners often miss
• TDS: A company tenant will deduct TDS on lease under Section 194-I and give you a certificate. Factor this into cash flow; it is not a deduction from your agreed lease, it is tax paid on your behalf.
• GST: Rent on commercial property attracts GST at 18%. Whether you charge it or the tenant pays it under reverse charge depends on your registration status; a chartered accountant can confirm which applies to you.
• Deposit: An interest-free security deposit is not income, but keep it separate so you can refund it at the end of the lease without scrambling.
None of this is legal or tax advice; it is the list of things to raise with your CA and lawyer before signing, so that nothing comes as a surprise in month two.
Step 8: After the Keys Change Hands
The lease is signed, the lease is landing, and most owners stop paying attention. That is usually when value leaks. Three habits keep a leased warehouse profitable over nine years.
• Inspect twice a year with notice to the tenant. Roof sheets, gutters, flooring and the boundary wall. Small repairs on your side stay small; the ones you find at exit have had three years to grow.
• Benchmark the lease at every renewal. Belts move. Pataudi Road and Kherki Daula have repriced sharply as the KMP and Dwarka Expressway matured; owners who renewed on autopilot left money on the table. If you would like a market comparison before a renewal conversation, our advisory desk does this for existing landlords as well as tenants.
• Start the next search six months before expiry if the tenant signals an exit. A warehouse that goes back on the market with a current Fire NOC, clean floor and fresh photographs re-leases in weeks; one that has sat empty through a monsoon does not.
How Long Does It Take? A Realistic Timeline
For a well-prepared owner with papers in order, this is the typical path from decision to lease.
| Stage | Time | Owner's job |
| Pricing and document check | Week 1 | Collect papers, get a lease benchmark |
| Repairs and readiness | Weeks 1–4 | Fix the seven rejection points; apply for Fire NOC if missing |
| Listing live and enquiries | Weeks 2–6 | Respond within a day; screen before visits |
| Site visits and shortlisting | Weeks 4–8 | Be present or send someone who knows the property |
| LOI and negotiation | Weeks 6–9 | Hold your terms on tenure and escalation; flex on fit-out days |
| Lease deed and registration | Weeks 8–11 | Review every clause; register at the sub-registrar |
| Handover and lease start | Weeks 10–12 | Signed handover note, deposit received |
Owners who skip Step 2 and Step 3 routinely stretch this to six months or more, because every tenant who visits finds the same problems and asks for the same missing paper.
Frequently Asked Questions from Warehouse Owners
Can I lease out a godown built on agricultural land in Gurgaon?
Not to a corporate tenant without a CLU. Companies will not take the legal risk, and the premises can be sealed. Individual or informal tenants may still take it, but at a sharply lower lease and with higher risk to you. Apply for the CLU through DTCP before marketing to serious users.
What is a fair security deposit for a warehouse in Gurgaon?
Three to six months' lease is standard. Ask for six from a tenant you do not know, and be prepared to accept three from a listed or well-established company; their covenant is worth more than the extra deposit.
Should I lease the warehouse bare or do the fit-outs myself?
Lease it warm-shell: sound structure, flooring, docks, power, fire system and basic lighting. Leave racking, office interiors and specialised fit-outs to the tenant. Owner-funded fit-outs only make sense against a longer lock-in and higher lease, and should be written into the lease.
How do I handle a tenant who wants to leave before the lock-in ends?
The lease should state that lease for the balance of the lock-in is payable, usually adjusted against the deposit. In practice, most owners negotiate: a replacement tenant found by the outgoing one, or a partial payment, is often better than a dispute.
Do I need to register the lease if it is only for three years?
Any lease of more than 11 months should be registered to be enforceable as a lease. Unregistered long leases can be treated as month-to-month tenancies in a dispute, which weakens your position considerably.
Is it better to lease to one large tenant or divide the warehouse?
One tenant means one relationship, one set of papers and usually a longer lease. Dividing can raise the per-sq-ft lease and spread vacancy risk, but needs separate access, metering and fire compliance for each unit. For sheds under 30,000 sq ft, a single tenant is almost always simpler.
